On 25 June, 2008 EuroChem, an open joint-stock company, held its annual general shareholders meeting. The meeting was attended by shareholders who were registered as of 19 May 2008 and who represented 100% of the company's stock.

The annual meeting approved the company’s 2007 annual report and annual accounting reports.

The election of a new Board of Directors did not result in any changes, and the membership remains the same:

2. Mr. Keith Jackson

3. Mr. George Cardona

4. Mr. Andrey Igorievich Melnichenko

5. Mr. Vladimir Viktorovich Stolin

6. Mr. Dmitri Stepanovich Strezhnev

7. Mr. Richard Sheath

It is expected that the Board will elect its chairman on 4 July 2008.

The shareholders also elected EuroChem’s Revision Commission:

1. Mr. Alexei Vitalievich Vlasenko

2. Mr. Ruslan Fidratovich Ishkayev

3. Ms.Tatiana Ivanovna Khiliuta

The general meeting also approved the appointment of Financial and Accounting Consultants as EuroChem’s 2008 external auditor, approved EuroChem's membership in the Russian Grain Union.

The EuroChem AGM ruled to pay dividends based on 2007 results in the amount of 71 rubles and 24 kopecks per one common registered share of EuroChem MCC OJSC, considering paid interim dividends for 9M2007.

The shareholders also ruled to pay interim dividends based on 1Q2008 results in the amount of 34 rubles and 47 kopecks per one common registered share.

The payment period for the announced dividends is defined at 60 days; therefore EuroChem shall pay the amount of RUR3 516 280 000 to its shareholders till 25 August 2008.

The shareholders also approved new versions of EuroChem’s Charter, the Board of Directors Regulations, the Management Board Regulations, and the General Director Regulations. The amendments that were entered in these documents primarily concern the redistribution of a number of authorities related to daily management and prompt management action on the part of the Board of Directors and the company's other bodies of executive management. Other amendments were made to bring internal regulatory documents up to date with recent amendments to the Russian Federal JSC Law.
